These Terms of Service (hereinafter referred to as "the Terms of Use") stipulate the conditions of use for users when they use the metaverse platform service "SAKURA Law Offices Metaverse Service" (hereinafter referred to as "the Metaverse") provided by SAKURA Law Offices (hereinafter referred to as "our firm"). Users shall use the Metaverse in accordance with these Terms of Use.
Article 1 (Agreement to these Terms of Use, etc.)
Users may use the Metaverse only after agreeing to these Terms of Use. The Firm may provide optional services in connection with the Metaverse, but the contents of these Terms of Use shall apply to such optional services in the same manner as to the Metaverse, unless otherwise specified by the Firm.
When a user registers with the Metaverse and completes the procedure for agreeing to these Terms of Use, a service agreement will be established between the user and our firm in accordance with the provisions of these Terms of Use.
If you are a minor, please use this Metaverse only with the consent of your parent or other legal guardian.
If a minor user uses the Metaverse under false pretenses of consent from a legal guardian when they do not have such consent, or falsely represents themselves as an adult, or if they otherwise use fraudulent means to make others believe that they are fully capable of acting, they will not be able to cancel any legal acts related to the Metaverse.
If a User who was a minor at the time of agreeing to these Terms of Use uses the Metaverse after reaching the age of majority, such User will be deemed to have ratified all legal acts related to the Metaverse.
These Terms of Use shall apply to all relationships between users and our firm regarding the use of this Metaverse.
Article 2 (Definition)
The definitions of the terms used in these Terms of Use are as follows.
①Metaverse
A three-dimensional virtual space or service that is different from the real world and is constructed within a computer or computer network
②This Metaverse
A service that receives services under the name of the metaverse platform service "SAKURA Law Offices Metaverse Service" provided by our firm (including the service after the name or content of the service is changed)
③User
An individual or corporation that has been registered for the use of this Metaverse pursuant to Article 3
④User Information
"Personal information" as defined in Article 2, Paragraph 1 of the Act on the Protection of Personal Information and information about users necessary for the use of this Metaverse
⑤Registered information
General term for information registered by users in this metaverse
⑥Intellectual property
Inventions, ideas, new varieties of plants, designs, works, and other products of human creative activity (including laws of nature or phenomena that have been discovered or elucidated and have the potential for industrial application), trademarks, trade names, and other items indicating products or services used in business activities, and trade secrets and other technical or commercial information useful for business activities
⑦Intellectual property rights
Rights prescribed by law or interests protected by law regarding patent rights, utility model rights, breeder's rights, design rights, copyrights, trademark rights, and other intellectual property
⑧Term of use
Agreement regarding the use of this metaverse in accordance with the provisions of these Terms of Use
⑨Handling of personal information and personal information protection policy
Refers to the guidelines (regardless of name) that stipulate how our firm considers privacy.
Article 3 (Registration Procedure)
A person who wishes to use the Metaverse (hereinafter referred to as the "Registration Applicant User") must apply for registration using the method specified by our firm and agree to the contents of these Terms of Use before applying to register to use the Metaverse.
Our firm will use the method specified by our firm to determine whether or not to accept the registration of a person who has applied to register to use the Metaverse (hereinafter referred to as the "Registration Applicant User"). When our firm accepts the application for registration using the method specified by our firm, the user becomes a user, and from that point on, the user can use the Metaverse in accordance with these Terms of Use.
Applications for registration to use the Metaverse must be made by the individual or corporation that will be using the Metaverse itself, and registration applications cannot be made by a representative of the Registration Applicant User.
If the user falls under any of the following items, the firm may not accept the application for registration to use the Metaverse. In such cases, the firm shall not be obligated to disclose the reason for not accepting the application.
①If you apply for registration without following the method specified by our firm
②If there is a false, incorrect or missing information in all or part of the registration information
③If you are a minor, an adult ward, a person under guardianship or assistance, and apply for registration without obtaining the consent of your legal representative, guardian, guardian or assistant
④If our firm reasonably determines that you are an anti-social force (as defined in Article 18; the same applies below) (including gangs, gang members, right-wing groups and other similar persons), or that you have some kind of interaction or involvement with anti-social forces, such as cooperating or participating in the maintenance, operation or management of anti-social forces through funding or other means
⑤If our firm reasonably determines that you are a person who has violated a contract with our firm in the past or a related party to such a person
⑥If you have been suspended from using our firm or had your registration cancelled in the past for violating these Terms of Use and other terms of use, etc.
⑦If our firm reasonably determines that you are inappropriate for operating this metaverse
Our Firm will determine whether or not to allow the User to register in accordance with the preceding paragraph and other standards of our Firm, and if our Firm approves the registration, it will notify the User of that effect. Upon such notification, the User's registration as a User will be completed.
If there are any changes to the registration information, the User must notify our Firm of the changes without delay and submit any documents requested by our Firm.
After completing registration as a User under this Article, the User may use the Metaverse in accordance with these Terms of Use and the methods specified by our Firm until the User's registration is cancelled or the provision of the Metaverse is terminated.
Article 4 (Usage Agreement)
Users who wish to use the Metaverse must apply for use of the Metaverse in accordance with the methods separately specified by our firm, agreeing to these Terms of Use and related regulations, as well as the contents of the Metaverse. Users who apply for use are deemed to have agreed to these Terms of Use and related regulations, as well as the contents of the Metaverse.
Our firm will review the application for use made in accordance with the preceding paragraph, and when our firm approves the application for use, our firm will grant the User eligibility to use the Metaverse, at which point a usage agreement will be established between the User and our firm.
Users may use the Metaverse in accordance with these Terms of Use and the methods specified by our firm.
Article 5 (Management of Passwords and User IDs)
Users shall manage and store their passwords, user IDs, and other information related to this metaverse access at their own risk, and shall not allow a third party to use it, or lend, transfer, change the name, buy or sell it.
Users shall be liable for any damages caused by insufficient management of their passwords, user IDs, and other information related to this metaverse access, errors in use, or use by a third party, and our firm shall not be liable in any way except in cases of willful or gross negligence on the part of our firm.
If a user finds that their password or user ID or other information related to this metaverse access has been stolen or used by a third party, they shall immediately notify our firm and follow our firm's instructions.
Article 6 (Prohibited Acts)
When using the Metaverse, the Firm prohibits users from engaging in the following acts. Users of the Metaverse must also agree not to engage in any of the following acts or any acts that may be considered to be equivalent to such acts, and not to encourage or support similar acts by third parties. If the Firm reasonably determines that a user has violated any of the prohibited acts, the Firm may suspend the user agreement, expel the user, or take any other measures that the Firm deems necessary.
①Actions that infringe on the intellectual property rights, portrait rights, or privacy rights of our firm or third parties
②Actions that damage the reputation or credibility of our firm or third parties (including other users. The same applies below in this article.) or that unfairly discriminate or slander
③Actions that stalk, harass, troll, or expose other users
④Actions that infringe on the property of our firm or third parties
⑤Actions that cause economic damage to our firm or third parties
⑥Threatening acts against our firm or third parties
⑦Sending false information
⑧Using or inducing computer viruses (including but not limited to worms, Trojan horses, Easter eggs, and spyware) and harmful programs (including but not limited to hacking, cracking, and phreaking)
⑨Using this metaverse with the intention of creating or encouraging the creation of fraudulent software, automated software, bots, hacks, mods, or other third-party software not approved by our firm
⑩Putting excessive stress on the infrastructure equipment for this metaverse
⑪Attacking the servers, systems, or security of this website (including, but not limited to, modifying, altering, creating adaptations, hacking, reverse engineering, decompiling, or disassembling).
⑫Attempting to access the metaverse by any means other than the interface provided by our firm.
⑬Obtaining multiple user IDs by one user
⑭Actions that violate laws, regulations, or public order and morals.
⑮Criminal acts or acts that warn of, participate in, or encourage criminal acts, or other actions related to these
⑯Using the Metaverse for the purpose of money laundering or for purposes that violate related laws and regulations
⑰Speech, behavior, or other expressions that may glorify, induce, or encourage violence, suicide, acts of self-injury, drug abuse, etc.
⑱Collecting or accumulating user information, etc., about other users
⑲Impersonating other users
⑳Disseminating information that may mislead third parties into believing that it is an official representation or opinion of our firm
㉑Any act of directly or indirectly providing benefits to antisocial forces in relation to the Metaverse
㉒The act of transmitting obscene information or information (including images) that is harmful to the personality development of minors, regardless of the method used
㉓Posting external links or URLs that lead users to external adult sites or sites that post child prostitution or pornography
㉔Conducting economic activities such as commercial activities approved by our firm, political activities, or similar activities without the permission of our firm
㉕Transmitting information about heterosexual relationships
㉖Any other actions that our firm reasonably considers inappropriate
If the Firm determines that the transmission of information by a user in the Metaverse falls under any of the items in the preceding paragraph, or is likely to fall under such items, the Firm may delete all or part of the information in question without prior notice to the user. The Firm shall not be liable for any damages incurred by a user as a result of measures taken by the Firm pursuant to this paragraph, except in cases where the Firm is guilty of willful misconduct or gross negligence.
Article 7 (Suspension of Provision of the Metaverse, etc.)
If the Firm determines that any of the following circumstances exist, the Firm may suspend or interrupt the provision of all or part of the Metaverse without prior notice to Users.
①When performing maintenance, inspection, or updates to the computer systems related to this metaverse
②If it becomes difficult to provide the Metaverse due to force majeure such as an earthquake, lightning, fire, power outage, natural disaster, or virus infection.
③When a computer or communication line is stopped due to an accident
④Any other case in which we reasonably determine that it would be difficult to provide the Metaverse.
The Firm shall not be liable for any disadvantage or damage suffered by users or third parties due to the suspension or interruption of the provision of the Metaverse, regardless of the reason.
Article 8 (Hardware and other equipment)
The preparation and maintenance of hardware, smartphones and other devices, communication lines and other communication environments necessary to receive this metaverse shall be at the User's own expense and responsibility.
Users shall take security measures at their own expense and responsibility, such as preventing computer virus infection, unauthorized access, and information leaks, according to their own usage environment of the Metaverse.
Article 9 (Intellectual Property Rights)
All intellectual property rights relating to our firm's website, etc. (meaning our firm's website related to the Metaverse, including the portal site and SNS, software, etc. used in the Metaverse; the same applies below) and the Metaverse belong to our firm or third parties that have granted licenses to our firm.
The license to use the Metaverse under these Terms of Use does not imply any license to the intellectual property rights of our firm or any third party that has granted a license to our firm, relating to our firm's website and the Metaverse.
Article 10 (User Information)
The Firm will handle the User's Information in accordance with the Firm's handling of personal information and privacy policy, which will be separately determined, and the User agrees that his/her User Information will be handled in accordance with the Firm's handling of personal information and privacy policy.
Article 11 (Services under development)
The Firm may provide Users with services currently under development either as part of the Metaverse or as services independent of the Metaverse.
If the firm deems it necessary, it may change the content of the services under development or suspend or discontinue the provision of the services under development at any time without prior notice to users.
The firm makes no guarantees whatsoever regarding the services under development, including their fitness for a particular purpose, commercial usefulness, completeness, continuity, etc.
Article 12 (Restrictions on Use and Cancellation of Registration)
If a User falls under any of the following items, our firm may, without prior notice, restrict the User's use of all or part of the Metaverse or cancel the User's registration as such.
①If you violate any provision of these Terms of Use
②If it is discovered that there is a false statement in the registration information
③ If you have used or attempted to use the Metaverse for purposes or in a manner that may cause damage to our firm, other users, external businesses, or other third parties.
④If the User is no longer able to receive services or cooperation from an external business operator due to a violation of the External Terms of Use or other reasons.
⑤If you interfere with the operation of the Metaverse by any means
⑥If the Company suspends or becomes unable to make payments, or if a petition is filed for the commencement of bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation proceedings, or any similar proceedings.
⑦ When a bill or check that the person issued or accepted is dishonored, or when a bill clearing house is ordered to suspend transactions or receive other similar measures
⑧In the event of a petition for seizure, provisional seizure, provisional disposition regarding these Terms of Use, compulsory execution, or auction.
⑨If you are subject to disposition for default on taxes and public charges
⑩In the event of death or a ruling on the commencement of guardianship, curatorship, or assistance has been made.
⑪If you have not used the Metaverse for six months or more and have not responded to any contact from our office
⑫If any item in Article 3, Paragraph 4 of these Terms applies
⑬Any other case in which the firm reasonably determines that use of the Metaverse is inappropriate.
The Firm shall not be liable for any damages incurred by the User as a result of any action taken by the Firm pursuant to this Article, except in cases where the Firm is guilty of willful misconduct or gross negligence.
If a User's registration is cancelled pursuant to this Article, the User shall, in accordance with the instructions of the Firm, return, discard or otherwise dispose of any software, manuals and other items related to the Metaverse provided by the Firm.
Article 13 (Disclaimer, etc.)
The firm shall not be liable for any damages incurred as a result of any change, interruption or termination of the content of this Metaverse.
Our firm has no involvement whatsoever in, and bears no responsibility for, the user's usage environment of the Metaverse.
Our firm makes no guarantee that the Metaverse will meet the specific purposes of the user, that it will have the expected functions, commercial value, accuracy, or usefulness, that the user's use of the Metaverse will comply with the laws and regulations or internal rules of industry associations that are applicable to the user, or that there will be no malfunctions.
The firm does not guarantee that the Metaverse will be compatible with all information terminals, and users acknowledge in advance that malfunctions in the operation of the Metaverse may occur due to updates to the OS of the information terminals used to use the Metaverse. The firm does not guarantee that in the event that such malfunctions occur, they will be resolved by program corrections or other measures implemented by the firm.
The firm shall not be liable for any damages incurred by users directly or indirectly as a result of using this metaverse.
The firm shall not be liable for any loss of opportunity, interruption of business, or any other damages (including indirect damages and lost profits) incurred by users or other third parties, even if the firm has been notified in advance of the possibility of such damages.
The provisions of the preceding paragraphs shall not apply in cases where there is intent or gross negligence on the part of our firm, or where the contract constitutes a consumer contract under the Consumer Contract Act.
Even if the preceding paragraph applies, our firm shall not be liable for any compensation for damages incurred by the user as a result of negligent acts (excluding gross negligence) that arise from special circumstances.
This metaverse is not intended to fully achieve the user's objectives, but is merely a supplementary service. Our firm will not be held liable for any damage to the life or property of a user or a third party arising from the use of this metaverse, except in cases of willful misconduct or gross negligence on the part of our firm.
We cannot guarantee that we will respond to you within a short period of time.
Our firm shall not be held responsible for any disputes or troubles between users and other users. Even if a dispute arises between a user and another user, both parties shall be responsible for resolving the dispute and shall not make any claims against our firm.
If a User causes damage to other Users or a dispute arises with a third party in connection with the use of this Metaverse, the User shall compensate for such damage or resolve such dispute at his/her own expense and responsibility, and shall not cause any inconvenience or damage to our Firm.
If a third party makes a claim for damages against our firm due to the actions of the user, the user shall settle the claim at his/her own expense and responsibility. If our firm pays damages to the third party, the user shall pay all expenses to our firm, including the damages (including attorney's fees and lost profits, etc.).
If a user causes damage to the firm in connection with the use of this metaverse, the user shall compensate the firm for the damage (including litigation costs and attorney's fees, etc.) at the user's expense and responsibility.
Article 14 (Damages)
If a user causes damage to the firm by violating these Terms of Use or in connection with the use of the Metaverse, the user must compensate the firm for such damage.
If a User receives a complaint from another User, external business operator or other third party in connection with the Metaverse or if a dispute arises with such a party, the User shall immediately notify our Firm of the details thereof and shall handle the complaint or dispute at the User's expense and responsibility, and shall report the progress and results to our Firm upon request.
If the Firm receives any claim from another user, external business operator or other third party for infringement of rights or for any other reason in connection with the User's use of the Metaverse, the User must compensate the Firm for any expenses that the Firm is required to pay to the third party based on the claim.
Article 15 (Revision of Terms)
Our firm reserves the right to revise the contents of these Terms of Use if it deems it necessary.
When the Company revises these Terms of Use, the Company will notify users of the content and effective date of the revisions by the method specified by the Company prior to the effective date of the revisions.
The revisions to these Terms of Use shall take effect from the time when we give notice of them as stated in the preceding paragraph.
When a User uses the Metaverse after these Terms of Use have been revised, the User will be deemed to have agreed to the revised Terms of Use without any objections.
Article 16 (Changes to Service Content, etc.)
The Firm may change the contents of the Metaverse or discontinue providing all or part of the Metaverse without notifying the User, and shall not be liable for any damages incurred by the User as a result thereof.
Article 17 (Prohibition of Transfer of Rights)
Users may not transfer or pledge as security to a third party, in whole or in part, their status under these Terms of Use or their rights or obligations under these Terms of Use without the prior written consent of our firm.
Our firm may, at its discretion, transfer all or part of the Metaverse to a third party. In such case, all of the User's rights relating to the Metaverse, including the User's registration information, within the scope of the transferred rights, will be transferred to the transferee, and the User shall agree in advance to such transfer under this paragraph.
Article 18 (Exclusion of Antisocial Forces)
Our firm and users represent and warrant that they are not currently, a member of a gang, a person who has been a member of a gang within the last five years, a quasi-member of a gang, a company related to a gang, a corporate racketeer, a swindler pretending to be a social activist, a criminal group with special intelligence, or any other person equivalent thereto (hereinafter referred to as "anti-social forces"), and that they do not fall under any of the following items, and will not fall under any of the following items in the future.
①Having a relationship that is deemed to give antisocial forces control over management
①Having a relationship that is deemed to give antisocial forces control over management
②Having a relationship that is deemed to involve substantial involvement of antisocial forces in management
③Having a relationship that is deemed to be an inappropriate use of antisocial forces, such as for the purpose of obtaining wrongful benefits for oneself, one's company or a third party, or for the purpose of causing damage to a third party
④Having a relationship that is deemed to be involved in providing funds, etc., or convenience to antisocial forces
The directors or persons substantially involved in management have a socially reprehensible relationship with antisocial forces.
Our firm and users promise not to commit any of the following acts, either by themselves or through a third party.
①Violent demands
②Unreasonable demands that go beyond legal responsibility
③Threatening behavior or violence in relation to transactions
④Spreading rumors, damaging the other party's credibility by fraudulent means or by using force, or interfering with the other party's business
⑤Any other acts similar to those listed above
If it becomes clear that the other party is an anti-social force or falls under any of the items in paragraph 1 of this Article, or has engaged in any of the acts in paragraph 2 of this Article, or has made a false statement with respect to the representation made pursuant to the provisions of paragraph 1, either our firm or the user may terminate this Agreement without any notice.
In the event that the effective term of this Agreement is extended, the Firm and the User agree that the representations set forth in this Article shall be made again and shall be deemed to have been made on the first day of the extended effective term.
Article 19 (Full Consent)
These Terms of Use constitute the entire agreement between the Firm and the user with respect to the matters contained herein and supersede all prior agreements, representations and understandings, whether oral or written, between the Firm and the user with respect to the matters contained herein.
Article 20 (Possibility of Separation)
Even if any provision or part of any provision of these Terms of Use is determined to be invalid or unenforceable under the Consumer Contract Act or other laws and regulations, the remaining provisions of these Terms of Use and the remaining part of the provision that is determined to be invalid or unenforceable shall continue in full force and effect.
Article 21 (Non-waiver of rights)
If the user does not comply with these Terms of Use, and the Company does not take immediate action, this does not mean that the Company is waiving any of its rights.
Article 22 (Limitation of Liability)
Our services are provided on an "as is" basis, and we make no express or implied warranties (including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement) that the Metaverse is free from factual or legal defects (including safety, reliability, accuracy, completeness, validity, suitability for a particular purpose, security or other defects, errors or bugs, infringement of rights, etc.).
Article 23 (How to contact our office)
Users may contact or inquire about the Metaverse to our firm through an inquiry form provided in an appropriate place on the Metaverse or our firm's website, or by a method separately specified by our firm.
Article 24 (Survival Provisions)
The provisions of Article 5, Paragraph 2, Article 6, Paragraph 2, Article 7, Paragraph 2, Articles 8 to 11, Article 12, Paragraphs 2 and 3, Articles 13, 14, Article 17, Articles 19 to 22, this Article, and Article 26 shall remain in effect even after the termination of the Terms of Use.
Article 25 (Settlement by Agreement)
If any matter not specified in these Terms of Use or any doubt arises regarding the interpretation of these Terms of Use, our firm and the user shall promptly seek a resolution through consultation in accordance with the principle of good faith.
Article 26 (Governing Law and Court of Jurisdiction)
The validity, interpretation and performance of these Terms of Use shall be governed by and construed in accordance with Japanese law.
Any discussions, litigation, or other disputes between our firm and users, etc. shall be submitted to the exclusive jurisdiction of the Tokyo Summary Court or the Tokyo District Court, depending on the amount of the claim.
